Terms and Conditions

These Terms and Conditions ("Terms") govern your access to websites operated by Virtala Tech Pte. Ltd. ("Virtala") and, when you or your organization enters into an order or agreement with us, are supplemented by that agreement (which prevails in case of conflict for the subscribed Services).

1. The Services

Virtala provides software and related services to help financial institutions and regulated businesses automate parts of KYC, AML, and adjacent compliance workflows. Features, availability, and support levels are as described in your order or published product materials at the time of purchase.

2. Eligibility and accounts

You represent that you have authority to bind your organization when you register or accept these Terms on its behalf. You must keep credentials confidential and promptly notify us of suspected compromise.

3. Acceptable use

You agree not to:

• probe, scan, or test the vulnerability of our systems without authorization;
• misuse the Services to violate law, infringe third-party rights, or process data you are not entitled to process;
• reverse engineer our software except where mandatory law allows, or interfere with other customers' use of the platform.

4. Customer data

Your organization retains ownership of content it submits. You grant Virtala a limited license to host, process, and display that content solely to provide the Services and as described in our Privacy Policy. We do not use your customer case data to train shared or public machine learning models unless separately agreed in writing.

5. Intellectual property

Virtala and its licensors own the Services, including software, documentation, and branding. Except for the limited rights expressly granted, no rights are transferred to you.

6. Confidentiality

Each party will protect the other's non-public information with reasonable care and use it only for the purpose of the business relationship.

7. Disclaimers and limitation of liability

To the maximum extent permitted by law, the website and any free evaluation materials are provided "as is" without warranties of any kind. For paid Services, liability caps and remedies are as set out in your order. Nothing in these Terms excludes liability that cannot be limited by applicable law.

8. Suspension and termination

We may suspend access for material breach, security risk, or legal requirement. Provisions that by nature should survive (confidentiality, liability limits, governing law) survive termination.

9. Governing law

Unless your order specifies otherwise, these Terms are governed by the laws of Singapore, without regard to conflict-of-law rules, and the courts of Singapore have exclusive jurisdiction, subject to mandatory consumer protections where they apply.
